Terms of Use

For purposes of this Terms of Use, the following definitions shall apply:

  1. “Honor Create Application” refers to an application by which an organization can (a) create asynchronous and/or synchronous elements of a course or learning material, (b) deploy such elements to a specified group of learners at specified dates and times, and (c) send and receive notifications and updates relating to the course or learning material to and from learners.

  2. “Honor Learn Application” refers to an application by which a learner can (1) access elements of a course or learning material, (2) receive notifications and updates about the course or learning material, and (3) maintain a digital notebook and portfolio related to such course or learning material.

  3. “Honor Calibrate Application” refers to an AI-powered coaching application by which a user can (1) engage in AI-facilitated reflective conversations designed to support independent thinking and self-directed judgment, (2) work through situations and challenges by responding to questions and prompts generated by an artificial intelligence model trained and constrained by Honor’s internal guidelines and parameters, and (3) evaluate your judgment and decision-making against your organization’s identified values and tensions.

  4. “Honor Platform” refers to the online educational content, course management, and AI-powered coaching platform consisting of three applications: Honor Create Application, Honor Learn Application, and Honor Calibrate Application.

The Honor Platform is owned and operated by HonorEd Technologies, Inc., doing business as Honor Education (“Honor”). By using the Honor Platform or otherwise accessing, viewing or using any products, services, websites, applications or platforms to which these Terms of Use are affixed, you agree to these Terms of Use.

These Terms of Use will change over time. If we make minor changes to these Terms of Use without materially changing your rights, we will post the modified Terms of Use on the Honor Platform. We will notify you by email, through the Honor Platform, or by presenting you with an updated Terms of Use to accept if we make a modification that materially changes your rights. When you use the Honor Platform after a modification is posted, you are accepting the modified Terms of Use.

If you are an authorized user of an entity that has a written agreement with Honor, then to the extent there is any conflict between these Terms of Use and such written agreement, the provisions in your separate written agreement apply.

Privacy Notice

Your use of the Honor Platform is also governed by our Privacy Notice, which explains how we collect, use and protect information submitted through the Honor Platform.

Account Creation

You are required to create an account to use the Honor Platform. After your account is created, you will be granted access to the Honor Learn Application. However, if you are a representative of your organization (i.e. an administrator, instructor or assistant), Honor will create your enterprise account and your organization must grant you permissions to access and use the Honor Create Application on your organization’s behalf to create and deploy courses, onboard other administrator users, instructors and representatives, and/or perform additional administrative tasks.

Creating a Learner Account: To create a Learner Account, you must be at least 16 years old. You may create your Learner Account because you are a Learner that seeks to register in, or has registered in, a course offered on the Honor Platform. In connection with your Learner Account, you are required to create a password and submit certain information and data ("Account Data"), which you shall maintain and update. You agree that all information you provide as Account Data (i) is your own personal information and (ii) is true and accurate, and that you will maintain and update this Account Data as needed in order to keep it current, complete and accurate at all times.

Maintaining and Updating an Enterprise Account on behalf of your Organization: To maintain and update an account on behalf of your organization, whether as an administrator, instructor or assistant, (i) your organization must have a written agreement with Honor to access and utilize the Honor Platform, (ii) Honor must have created an enterprise account for your organization, and (iii) you must be approved by your organization to act on its behalf in maintaining and updating the Enterprise Account. In maintaining and updating your organization’s account, you may include contact information, such as name, phone number and email address, that will be made available on your organization’s account. You agree to provide accurate and current information and to correct any misrepresentations immediately upon discovery.

Account Guidelines

You agree not to use the Honor Platform to send spam or other unauthorized communications, and you agree not to use any collected personal information or learner data for purposes not authorized by Honor or in violation of any agreement with Honor. These prohibitions are addressed in further detail below. You may have the ability to contact individuals or organizations directly through the Honor Platform. By using the Honor Platform, you agree not to stalk, defame, bully, harass, abuse, threaten, intimidate, or impersonate any people or entities.

You are not allowed to post any violent, nude, discriminatory, hateful, or sexually suggestive photos or other similar content via the Honor Platform. You are responsible for all content you upload to the Honor Platform. You agree not to use the Honor Platform for any illegal or unauthorized purpose, including spam, copyright infringement, identity theft, or fraud. You agree you will not attempt to restrict another user from using or enjoying the Honor Platform and you must not encourage or facilitate violations of these Terms of Use. Honor reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Honor’s sole discretion. Honor may also remove any information or materials, in whole or in part, at Honor’s sole discretion.

Honor reserves the right to fully cooperate with any law enforcement authorities or court order requesting or directing Honor to disclose the identity of anyone uploading, posting or making available any materials that are believed to violate these Terms of Use. BY ACCEPTING THESE TERMS OF USE, YOU WAIVE AND HOLD HARMLESS HONOR AND ITS AFFILIATES AND EMPLOYEES FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY HONOR DURING OR AS A RESULT OF ITS INVESTIGATIONS AND/OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER HONOR OR LAW ENFORCEMENT AUTHORITIES.

Export Compliance

You represent and warrant that (i) you are not located in a country subject to U.S. sanctions; (ii) you are not listed on any U.S. government restricted-party list; and (iii) your use of the Honor Platform complies with applicable export control and sanctions laws.

Your Content

By creating, submitting, uploading, posting and/or sharing content, materials, data, documents, course content, comments, annotations, discussion posts, assessments, media, and other information created by you, including your Account Data (collectively “User Content”), on or through the Honor Platform, you hereby grant Honor a limited, non-exclusive, worldwide, royalty-free right and license to host, store, reproduce, transmit, display, modify and otherwise process such User Content, solely as necessary to:

  • provide and operate the Honor Platform;

  • support and administer courses, communities, coaching experiences, and related services;

  • maintain platform security and functionality;

  • provide customer support;

  • comply with legal obligations, subpoenas and court orders; and

  • develop, improve, and maintain Honor's products and services using aggregated and de-identified information.

To the extent courses, assessments, certificates and programs are offered via the Honor Platform or through Honor’s partner institutions, including without limitation (i) organizations who perform services on behalf of Honor and (ii) employers and academic institutions and their representatives who provide such courses, assessments, certificates and programs via the Honor Platform (collectively “Partners”), Honor may share your User Content with such Partners.

You are responsible for User Content. You represent and warrant that you own the User Content or that you have all rights necessary to grant Honor a license to use the User Content as described in these Terms of Use. You also represent and warrant that the User Content and the use and provision of the User Content on the Honor Platform will not: (a) infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (b) violate, or encourage any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (c) be fraudulent, false, misleading or deceptive; (d) be defamatory, obscene, pornographic, vulgar or offensive; (e) promote discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (f) be violent or threatening or promote violence or actions that are threatening to any person or entity; or (g) promote illegal or harmful activities or substances.

Neither Honor nor its Partners assume any liability of any kind for User Content uploaded or submitted by you or by third party users of the Honor Platform. In general, neither Honor nor its Partners screen, monitor, approve or edit User Content. However, Honor and its Partners each have the unilateral right to remove any User Content that, in Honor’s or its Partners’ judgment, does not comply with these Terms of Use and any other rules or policies relating to user conduct for the Honor Platform, or is otherwise harmful, objectionable or inaccurate, though neither Honor nor its Partners are responsible for any failure or delay in removing such User Content. You hereby waive any claim against Honor or its Partners arising out of such removal of User Content.

Processing of User Content

Honor may process User Content solely for:

  • providing the Honor Platform;

  • maintaining security;

  • troubleshooting;

  • customer support;

  • legal and regulatory compliance; and

  • internal operational purposes.

Honor may generate and use aggregated and de-identified data that cannot reasonably identify any individual or customer.

User Data and Privacy

IN CONSIDERATION OF YOUR PARTICIPATION IN THE HONOR PLATFORM AND ANY COURSES, ASSESSMENTS, CERTIFICATES OR PROGRAMS PROVIDED THEREBY, YOU AGREE THAT HONOR AND ITS PARTNERS MAY SHARE USER CONTENT AND YOUR COURSE, ASSESSMENTS, CERTIFICATES AND PROGRAM COMPLETION INFORMATION, INCLUDING WITHOUT LIMITATION YOUR COURSE/PROGRAM COMPLETION STATUS, FINAL GRADE, PASS/FAIL INFORMATION, AND ENROLLMENT STATUS, AS WELL AS TIME ON TASK AND OTHER PROGRESSION DATA (COLLECTIVELY “USER DATA”), WITH YOUR EDUCATION INSTITUTIONS, EMPLOYERS AND OUR PARTNERS THROUGH THE HONOR PLATFORM OR AS OTHERWISE REQUESTED FOR THE PURPOSE OF OPERATING THE HONOR PLATFORM, PROVIDING THE SERVICES AND BENEFITS OF THE HONOR PLATFORM, AND REPORTING RESULTS TO OUR CUSTOMERS. YOU FOREVER RELEASE AND DISCHARGE HONOR AND ITS PARTNERS FROM ANY AND ALL CLAIMS RELATED TO SUCH SHARING AND DISCLOSURE OF YOUR USER DATA. THIS SECTION SHALL SURVIVE EXPIRATION OR TERMINATION OF THESE TERMS.

Additionally, Honor may use and share Account Data, User Content and User Data in aggregate and anonymized form for certain business purposes; e.g. to create other materials and services by performing statistical analyses of the collective characteristics and behavior of all users, and/or by measuring demographics, statistical, performance and interests regarding specific areas of the Honor Platform.

User Consent

By using the Honor Platform, you hereby consent to receiving communications related to your account, enrollments, courses, services, new products, and platform updates. You further consent to receiving calls and texts to the phone numbers that you provide using automatic dialing technology. Message and data rates may apply. You may revoke consent to autodialed calls/texts at any time and you may opt out of non-essential communications at any time by contacting info@honor.education.

You further authorize Honor, its agents and its Partners and their agents to use email address(es) and phone number(s) provided by you as a reliable method for communicating with you to (a) use the Honor Platform, (b) participate effectively in courses and programs you registered for and for future courses, programs, products and/or services, and (c) be contacted through the use of the Honor Platform.

Artificial Intelligence Features

The Honor Platform may include features that utilize artificial intelligence, machine learning models, automated content generation, automated summarization, recommendation systems, coaching tools, or similar technologies ("AI Features"). AI Features may generate content, recommendations, summaries, questions, assessments, learning materials, or other outputs ("AI Output").

You acknowledge and agree that:

  • AI Output may contain inaccuracies, omissions, outdated information, or unintended results;

  • AI Output is generated algorithmically and is not reviewed by Honor in every instance;

  • AI Output should be independently reviewed before being relied upon for educational, business, legal, financial, medical, employment, or other important decisions;

  • Honor makes no representation or warranty regarding the accuracy, completeness, reliability, or suitability of AI Output.

You remain solely responsible for decisions made based upon AI Output.

Prohibited Uses of AI Features

You shall not:

  • attempt to reverse engineer, extract, reconstruct, or discover underlying models;

  • use AI Features to build competing products or services;

  • conduct automated benchmarking without Honor's written consent;

  • circumvent safety measures, content restrictions, or system limitations;

  • submit malicious prompts designed to manipulate or compromise system behavior;

  • use AI Features in violation of applicable law.

Honor may suspend access to AI Features for violations of this section.

Honor Calibrate Application; AI Coaching Tool

The Honor Calibrate Application uses artificial intelligence to facilitate reflective conversations that help users develop and reach their own independent judgment. The Honor Calibrate Application is designed to guide self-directed thinking through questions and prompts; it does not provide recommendations, conclusions, or advice on your behalf. By accessing or using the Honor Calibrate Application, you acknowledge and agree to the following terms, which apply in addition to all other provisions of these Terms of Use.

Nature of the Service. The Honor Calibrate Application is a reflective coaching tool. The AI model generates questions and prompts intended to support your own thinking process; all judgments, conclusions, and decisions are yours alone. The Honor Calibrate Application does not provide professional coaching, career counseling, legal, financial, mental health, medical, or other professional advice, and should not be used as a substitute for professional expertise. If you raise a topic that falls outside the scope of workplace judgment coaching—including disclosures of harassment or discrimination, mental health distress, illegal conduct, requests for legal or medical advice, or HR or legal action questions—the Honor Calibrate Application will not engage with it as a coaching topic and will instead direct you to appropriate human resources.

No Guarantee of Suitability. Honor does not warrant that the questions and prompts generated by the Honor Calibrate Application will be complete, relevant, or suited to your individual circumstances. The AI model operates within Honor’s defined parameters but may produce prompts that do not fully account for the specifics of your situation. Your use of the Honor Calibrate Application is at your sole risk.

Use of Inputs to Improve AI. Neither Honor nor any of its AI subprocessors uses your coaching interactions or any other User Content to train, fine-tune, benchmark, or evaluate any artificial intelligence or machine learning model, including foundation model pre-training, instruction tuning, or reinforcement learning from human feedback. Honor may use aggregate, de-identified operational metadata (such as session counts, response latency, and error rates) to monitor and improve system performance, but such metadata does not include conversation content or any information linkable to an individual user.

Appropriate Use. You agree not to include in your interactions with the Honor Calibrate Application: (a) sensitive personal information such as government identification numbers, financial account details, or medical information; (b) the names of specific employers, colleagues, clients, or other identifiable individuals; (c) proprietary or confidential business information belonging to a third party; or (d) any content that could cause harm to yourself or others. The Honor Calibrate Application is designed to help you reason through workplace situations in general terms; including identifying information is unnecessary and may affect how your data is handled.

Honor Content

Our Intellectual Property Belongs to Us. The material, information and content accessible via the Honor Platform or contained in any other website, application, service or product owned, operated, licensed, or controlled by Honor, excluding content posted or uploaded by you (collectively “Honor Content”) is protected by copyright, trademark, patent, trade secret and other laws, and, as between you and Honor, we own and retain all rights to the Honor Content and the Honor Platform. You will not remove, alter or conceal any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Honor Content and you will not reproduce, modify, adapt, prepare derivative works based on, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit our content.

The Honor name and logo are our trademarks, and may not be copied, imitated or used, in whole or in part, without our prior written permission. In addition, all page headers, custom graphics, button icons and scripts are service marks, trademarks and/or trade dress of Honor, and may not be copied, imitated or used, in whole or in part, without prior written permission.

Copyright Complaints

Honor respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe content made available through the Honor Platform infringes your copyright, you may submit a written notice containing:

  • identification of the copyrighted work;

  • identification of the allegedly infringing material;

  • your contact information;

  • a statement of good faith belief;

  • a statement under penalty of perjury;

  • your signature.

Honor reserves the right to remove allegedly infringing content and terminate repeat infringers.

Community Features

The Honor Platform includes collaborative learning features such as discussion threads, annotations, comments, reactions, peer interactions, and other community functionality. User Content submitted through community features may be visible to instructors, administrators, organizational representatives, and other authorized participants.

You are solely responsible for User Content you submit through community features.

Honor reserves the right, but not the obligation, to moderate, remove, edit, restrict, or disable access to community content that violates these Terms or applicable law.

Availability and Service Modifications

Honor continually develops and improves the Honor Platform. Honor may:

  • modify features;

  • add or remove functionality;

  • discontinue services;

  • perform maintenance;

  • release updates or upgrades.

Honor does not guarantee uninterrupted or error-free operation of the Honor Platform.

Mobile Applications

If you access the Honor Platform through a mobile application:

  • you are responsible for obtaining and maintaining compatible devices and internet access;

  • your use may be subject to the terms of the applicable app marketplace; and

  • Apple, Google, and other marketplace providers are not responsible for the Honor Platform.

Termination

We reserve the right to suspend or terminate your account(s) for violation of these Terms of Use or any other policies associated with the Honor Platform.

Account and Honor Platform Security and Integrity

Honor is dedicated to ensuring secure environments and follows a principle of least privilege for information security. You are responsible for keeping your password secret and secure, and we encourage you to update your password regularly.

By using the Honor Platform, you agree not to change or modify the Honor Platform to falsely imply that it is associated with another website. Creating accounts through unauthorized means, including scripts, bots, or automated crawlers is prohibited, as is collecting content through crawling, scraping, or caching of user profiles without our express consent.

You must not attempt to restrict another user from using or enjoying the Honor Platform and you must not encourage or facilitate violations of these Terms of Use or any other Honor terms.

No Monitoring

You are solely responsible for your interaction with other users of the Honor Platform, whether online or offline. You agree that Honor is not responsible or liable for your conduct. We reserve the right, but have no obligation, to monitor or become involved in disputes between you and other users. Exercise common sense and your best judgment when interacting with others, including when you upload content or any personal or other information.

Third Party Links

The Honor Platform contains links to third-party websites, apps, services and resources (collectively “Third-Party Services”) that are not under Honor’s control. We provide these links only as a convenience and are not responsible for the content, products or services that are available from Third-Party Services. You acknowledge sole responsibility and assume all risk arising from your use of any Third-Party Services.

Violation and Enforcement of These Terms

We reserve the right to refuse access to the Honor Platform to anyone for any reason at any time. We reserve the right to force forfeiture of any username or account for any reason. We may, but have no obligation to, remove, edit, block, and/or monitor content or accounts containing content that we determine in our sole discretion violates these Terms of Use.

Controlling Terms

Honor is continually improving the Honor Platform, and we may occasionally offer special features or functionality which include additional terms or conditions. If any of the additional terms or conditions conflict with this Terms of Use, the additional terms and conditions control.

Reporting Copyright and Other IP Violations

We respect other people’s rights and expect you to do the same. If you repeatedly infringe other people’s intellectual property rights, we will disable your account when appropriate.

Disclaimer of Warranties

The Honor Platform, including, without limitation, Honor Content, is provided on an “as is”, “as available” and “with all faults” basis. To the fullest extent permitted by law, neither Honor nor any of its employees, educators, officers, directors or agents (collectively “Honor Parties”) make any representations or warranties or endorsements of any kind whatsoever, express or implied, as to: (a) the Honor Platform; (b) Honor Content; (c) User Content; or (d) security associated with the transmission of information to Honor or via the Honor Platform. In addition, the Honor Parties hereby disclaim all warranties, express or implied, including, but not limited to, the warranties of merchantability, fitness for a particular purpose, non-infringement, title, custom, trade, quiet enjoyment, system integration and freedom from computer virus.

The Honor Parties do not represent or warrant that the Honor Platform will be error-free or uninterrupted; that defects or errors will be corrected; or that the Honor Platform or the server that makes the Honor Platform available is free from any harmful components, including, without limitation, viruses. The Honor Parties do not make any representations or warranties that the information (including any instructions) on the Honor Platform is accurate, complete, or useful. You acknowledge that your use of the Honor Platform is at your sole risk. The Honor Parties do not warrant that your use of the Honor Platform is lawful in any particular jurisdiction, and the Honor Parties specifically disclaim such warranties. Some jurisdictions limit or do not allow the disclaimer of implied or other warranties so the above disclaimer may not apply to you to the extent such jurisdiction’s law is applicable to you and these Terms of Use.

By accessing or using the Honor Platform, you represent and warrant that your activities are lawful in every jurisdiction where you access or use the Honor Platform.

The Honor Parties do not endorse content and specifically disclaim any responsibility or liability to any person or entity for any loss, damage (whether actual, consequential, punitive or otherwise), injury, claim, liability or other cause of any kind or character based upon or resulting from any content.

Electronic Communications

Visiting the Honor Platform or sending emails to Honor constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email or via the Honor Platform, satisfy any legal requirement that such communications be in writing.

You hereby give any consents required by law for the Honor Platform to operate as set forth in these Terms of Use.

Limitation of Liability; Waiver

Under no circumstances will the Honor Parties be liable to you for any loss or damages of any kind (including, without limitation, for any direct, indirect, economic, exemplary, special, punitive, incidental or consequential losses or damages) that are directly or indirectly related to: (a) the Honor Platform; (b) Honor Content; (c) User Content; (d) your use of, inability to use, or the performance of the Honor Platform; (e) any action taken in connection with an investigation by Honor Parties or law enforcement authorities regarding your or any other party’s use of the Honor Platform; (f) any action taken in connection with copyright or other intellectual property owners; (g) any errors or omissions in the Honor Platform’s operation; or (h) any damage to any user’s computer, mobile device, or other equipment or technology including, without limitation, damage from any security breach or from any virus, bugs, tampering, fraud, error, omission, interruption, defect, delay in operation or transmission, computer line or network failure or any other technical or other malfunction, including, without limitation, damages for lost profits, loss of goodwill, loss of data, work stoppage, accuracy of results, or computer failure or malfunction, even if foreseeable or even if the Honor Parties have been advised of or should have known of the possibility of such damages, whether in an action of contract, negligence, strict liability or tort (including, without limitation, whether caused in whole or in part by negligence, acts of god, telecommunications failure, or theft or destruction of the Honor Platform). In no event will the Honor Parties be liable to you or anyone else for loss, damage or injury. Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event will the Honor Parties total liability to you for all damages, losses or causes of action exceed the greater of (i) fees paid by you (excluding enterprise-related fees) to Honor in the prior 12 months or (ii) one hundred United States dollars ($100.00).

You agree that in the event you incur any damages, losses or injuries that arise out of Honor’s acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing any exploitation of any web site, service, property, product or other content owned or controlled by the Honor Parties, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of any web site, property, product, service, or other content owned or controlled by the Honor Parties.

Honor is not responsible for the actions, content, information, or data of third parties, and you release us and all Honor Parties from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties.

International Users

The Honor Platform is controlled, operated and administered by Honor from our offices within the USA. If you access the Honor Platform from a location outside the USA, you are responsible for compliance with all local laws and regulations. You agree that you will not use the Honor Content accessed through the Honor Platform in any country or in any manner prohibited by any applicable laws, restrictions or regulations.

Indemnification

Unless prohibited by law, you (individually and as a representative of any third party for whom you operate an account or activity on the Honor Platform) agree to defend, indemnify and hold harmless Honor and the Honor Parties from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable attorney’s fees and costs, arising out of or in any way connected with any of the following (including as a result of your direct activities on the Honor Platform or those conducted on your behalf): (i) your content or your access to or use of the Honor Platform; (ii) your breach or alleged breach of these Terms of Use; (iii) your violation of any third-party right, including without limitation, any intellectual property right, publicity, confidentiality, property or privacy right; (iv) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; or (v) any misrepresentation made by you. You will cooperate as fully required by Honor in the defense of any claim. Honor reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of Honor.

Additional Legal Provisions

Force Majeure. If by reason of Force Majeure, Honor shall be rendered unable wholly or in part to carry out its obligations under these Terms through no fault of its own, then Honor shall give you notice and details of the event causing such Force Majeure in writing or via the Honor Platform within a reasonable time after occurrence of the event or cause relied upon. Upon delivering such notice, the obligation of Honor, so far as it is affected by such Force Majeure event as described, shall be suspended during the continuance of its inability described, and Honor shall use reasonable commercial efforts to overcome such inability.

Dispute Resolution: You agree that any dispute between you and Honor arising out of or relating to these Terms of Use, the use of the Honor Platform, or any other Honor products or services (collectively, “Disputes”) will be governed by the arbitration procedure outlined below.

Informal Dispute Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against Honor, you agree to try to resolve the Dispute informally by contacting us at info@Honor.Education. We'll try to resolve the Dispute informally by contacting you through email. If a dispute is not resolved within 30 days after submission, you or Honor may bring a formal proceeding.

We Both Agree to Arbitrate: You and Honor agree to resolve any Disputes through final and binding arbitration. Any arbitration shall be administered by the American Arbitration Association ("AAA") pursuant to its applicable Consumer Arbitration Rules or Commercial Arbitration Rules. The arbitration may be conducted remotely through video conference unless otherwise required by law. The arbitrator shall have exclusive authority to determine issues relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement.

No Class Actions: You may only resolve Disputes with Honor on an individual basis and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations aren't allowed under our agreement.

Judicial Forum for Disputes: In the event that the agreement to arbitrate is found not to apply to you or your claim, you and Honor agree that any judicial proceeding (other than small claims actions) will be brought in the federal or state courts of San Francisco County, California. Both you and Honor consent to venue and personal jurisdiction there. We both agree to waive our right to a jury trial.

Limitation on Claims: Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of the Honor Platform must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be barred forever, except where a shorter limitations period is prohibited by applicable law.

Governing Law & Venue

These Terms of Use are governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. You and Honor agree that any judicial proceeding relating to these Terms of Use or any other dispute between you and Honor will be brought in the federal or state courts of San Francisco County, California. Both you and Honor consent to venue and personal jurisdiction there. We both agree to waive our right to a jury trial.

If any provision of these Terms of Use is held to be unlawful, void, or for any reason unenforceable during arbitration or by a court of competent jurisdiction, then that provision will be deemed severable from these Terms of Use and will not affect the validity and enforceability of any remaining provisions. Honor’s failure to insist upon or enforce strict performance of any provision of these Terms will not be construed as a waiver of any provision or right. No waiver of any of these Terms will be deemed a further or continuing waiver of such term or condition or any other term or condition.

Entire Agreement

If you are using the Honor Platform on behalf of a legal entity, you represent that you are authorized to enter into an agreement on behalf of that legal entity. These Terms of Use constitute the entire agreement between you and Honor and governs your use of the Honor Platform, unless you have a separate signed agreement with Honor.

You will not assign the Terms of Use or assign any rights or delegate any obligations hereunder, in whole or in part, whether voluntarily or by operation of law, without the prior written consent of Honor. Any purported assignment or delegation by you without the appropriate prior written consent of Honor will be null and void. Honor may assign these Terms of Use or any rights hereunder without your consent.
